Welcome to Forum Meat at Home! This Forum Meat at Home website, including any related subdomains, mobile sites, and applications (collectively, the “Site”) is operated by Forum Meat Company, LLC d/b/a Forum Meat at Home (“Forum Meat at Home”, “we”, “our”, “us”).  These Terms of Use (“Terms”) and Privacy Policy govern your access to and use of the Site.  By accessing or using the Site, you agree to be bound by these Terms and the Privacy Policy. If you do not agree, do not use the Site.

THIS AGREEMENT CONTAINS A BINDING ARBITRATION AGREEMENT WHICH LIMITS FORUM MEAT AT HOME’S RIGHTS AND YOUR RIGHTS TO SUE EACH OTHER IN COURT OR BRING A CLASS ACTION OF ANY KIND.  IN ARBITRATION, THERE IS NO JUDGE OR JURY AND THERE MAY BE LESS DISCOVERY AND APPELLATE REVIEW THAN IN COURT.  THIS AGREEMENT ALSO CONTAINS PROVISIONS THAT LIMIT OUR LIABILITY TO YOU.

1. Acceptance of Terms

By using the Site, you represent that you are at least 18 years old or the age of majority in your jurisdiction, and you have the legal capacity to enter into these Terms. If you are using the Site on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Changes to Terms

Forum Meat at Home may update or modify these Terms at any time without prior notice. Your continued use of the Site after any changes constitutes your acceptance of the revised Terms. You agree that you will review these Terms regularly.

3. Use of the Site

The Site and all content, including images, text, logos, designs, graphics, and other materials (“Content”), are for your personal, non-commercial use only. You may view, download, and print Content for personal use, provided you do not modify the Content, remove any proprietary notices, or make the Content available to third parties. You may not copy, reproduce, publish, transmit, distribute, display, modify, create derivative works from, or otherwise exploit the Content or Site for commercial purposes without prior written permission from Forum Meat at Home.

4. Account Registration and Security

You must register for and maintain an account with us to use the features and services provided in the Site (the “Service”). When registering, you must provide accurate and complete information and promptly update this information. If you purposely provide any information that is materially inaccurate or incomplete, or we have reason to believe that the information is materially inaccurate or incomplete, we may suspend your account and your use of the Service upon prior notice to you. You are responsible for all activities that occur through your account except to the extent any unauthorized use arises solely and directly from our gross negligence or willful misconduct. To protect your account from unauthorized use, you must keep your user identification and password secure. You must notify us immediately of any unauthorized use of your account or any other breach of security of which you are aware. If there is unauthorized use by anyone who obtained access to the Service directly or indirectly through you, you will take all steps reasonably necessary to terminate the unauthorized use. You will cooperate and assist with any actions taken by us to prevent or terminate unauthorized use of the Service. You may be required to create an account to access certain features of the Site. You agree to provide accurate, current, and complete information and to update it as necessary.

5. Orders, Pricing, and Product Information

All orders are subject to acceptance and availability. Forum Meat at Home reserves the right to refuse or cancel any order at any time for any reason.  Prices and product descriptions are subject to change without notice. In the event of a pricing or product information error, Forum Meat at Home reserves the right to correct the error and cancel or refuse any affected orders. If you have been charged for an order that we subsequently cancel, we will issue a credit to your original form of payment. Photos and descriptions are for illustrative purposes only and may not exactly represent the product received.

6. Payment and Taxes

Payment must be made using the methods specified on the Site. By submitting payment information, you represent that you are authorized to use the payment method. Applicable sales tax and shipping charges will be added to your order as required by law.

7. Shipping and Delivery

Forum Meat at Home ships only within the 48 contiguous United States. Shipping fees and delivery times are provided during checkout and are subject to change. Forum Meat at Home is not responsible for delays or failures in delivery due to incorrect addresses, weather, or other factors beyond its control.

8. Refunds, Replacements, and Returns

If you are not satisfied with your purchase, contact Customer Service within 45 days of shipment for a refund or replacement, subject to the conditions specified on the Site.  Refunds and replacements are issued at Forum Meat at Home’s discretion and may require proof of purchase. Shipping and handling fees are non-refundable unless otherwise stated.

9. User Content and Feedback

Any comments, feedback, suggestions, reviews, or other content submitted to Forum Meat at Home (“User Content”) may be used by Forum Meat at Home for any purpose, including commercial use, without compensation to you. By submitting User Content, you grant Forum Meat at Home a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, publish, and display such content. You are solely responsible for your User Content and must not submit content that is unlawful, infringing, defamatory, or otherwise objectionable.

10. Prohibited Conduct

You agree not to:

·      Use the Site for any unlawful purpose or in violation of any applicable law.

·      Interfere with or disrupt the operation of the Site or the servers or networks used to make the Site available.

·      Attempt to gain unauthorized access to any portion of the Site or any other systems or networks connected to the Site.

·      Use any automated means to access the Site or collect any information from the Site.

11. Disclaimer of Warranties

THE SITE AND ALL CONTENT, PRODUCTS, AND SERVICES PROVIDED THROUGH THE SITE ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. FORUM MEAT AT HOME DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FORUM MEAT AT HOME AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR PRODUCTS PURCHASED THROUGH THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL FORUM MEAT AT HOME’S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT PAID BY YOU FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Forum Meat at Home and its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, or expenses arising out of or related to your use of the Site, your violation of these Terms, or your violation of any rights of a third party.

14. Dispute Resolution and Arbitration

a.     Agreement to Arbitrate

By using this website or purchasing products from us, you and Forum Meat at Home agree that any dispute, claim, or controversy between you and Forum Meat at Home, including but not limited to those arising out of or relating to in any way to your use of the website, your purchase or use of products, or any communications between you and Forum Meat at Home (collectively, “Disputes”) will be resolved exclusively through final and binding arbitration, rather than in court, except as otherwise provided below.  You agree that any Dispute that you assert against an employee or affiliate of forum Meat at Home arising from or relating to your use of the website or purchase or use of products is covered by this arbitration agreement.  

YOU MAY CHOOSE TO PURSUE YOUR dispute IN COURT AND NOT BY ARBITRATION IF: (a) your claim qualifies for small claims court in a location where jurisdiction and venue over you and forum meat at home is proper, in which case you may initiate proceedings in such small claims court.

b.    Notice of Dispute

YOU AGREE TO ALLOW forum MEAT AT HOME THE OPPORTUNITY TO RESOLVE YOUR dispute INFORMALLY.  Before initiating arbitration, you agree to provide Forum Meat at Home with written notice of the Dispute, including a brief description of the claim and the relief sought, and allow Forum Meat at Home 30 days to resolve the Dispute informally.  YOUR WRITTEN NOTICE OF THE DISPUTE ALONG with ANY RELEVANT DOCUMENTS SHOULD BE SENT TO:

c.     Arbitration Procedures

as to the arbitration of a dispute subject to this Arbitration Agreement, you and forum meat at home agree:

·      A party may file such dispositive motions as would be permitted under the Federal Rules of Civil Procedure without obtaining permission from the arbitrator.

 

·      The parties shall have the right to conduct such discovery from the opposing party or any third party that is proportional to the needs of the claim or dispute, considering the importance of the issues at stake, the amount in controversy, the importance of the discovery in resolving the issues, and whether the burden or expense of the proposed discovery outweighs its likely benefit.  Permitted discovery shall be decided by the arbitrator when requested by either side.

·      Arbitration will be conducted by a single arbitrator through the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, as modified by this arbitration agreement.  A copy of the Rules is available at www.adr.org.  .

·      The arbitrator shall conduct any calls, conferences, or hearings by teleconference or videoconference, unless the arbitrator determines that an in-person hearing is appropriate.  Any in-person hearing will be held at a location that is reasonably convenient.  The arbitrator may, in the arbitrator’s discretion, determine that a Dispute should be resolved by submission of documents only.

·      The arbitrator will have the authority to grant any relief that would be available in a court under law or in equity. The arbitrator’s award shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

·      If the arbitrator finds that a party’s claim or counterclaim was frivolous, asserted in bad faith, or pursued for purposes of harassment, the arbitrator shall award the opposing party its attorneys’ fees, costs, and expenses and all amounts charged by AAA for the arbitration.

·      The arbitrator will follow these Terms and the law. The arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that individual party’s claim.

d.    Waiver of Jury Trial

EXCEPT fOR DISPUTES THAT QUALIFY FOR and are filed in SMALL CLAIMS COURT, As DESCRIBED ABOVE, You and Forum Meat at Home hereby waive any constitutional and statutory rights to sue in court and have a trial in front of a judge or jury. You and Forum Meat at Home are instead electing that all Disputes shall be resolved by arbitration under these Terms, except as otherwise provided in these Terms.

e.     Class Action and Mass Action Waiver

You and Forum Meat at Home agree that any arbitration or proceeding shall be limited to the Dispute between Forum Meat at Home and you individually. To the fullest extent permitted by law, (a) no arbitration or proceeding shall be joined with any other; (b) there is no right or authority for any Dispute to be brought, heard, administered, resolved, or arbitrated on a class-action or collective action basis or to utilize class action or collective action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

You and FORUM Meat at Home further agree to waive the right to have any dispute or claim subject to the Agreement brought, heard, administered, resolved, or arbitrated as a Mass Action to the maximum extent permitted by law. “Mass Action” means a situation in which a party is represented by a law firm or other representative, or a collection of law firms or other representatives, that has initiated more than one hundred (100) arbitration Demands with common questions of law or fact against Forum Meat at Home within 180 days of initiating your arbitration Demand.

This section may be referred to as the “Class Action and Mass Action Waiver” in these Terms.  Nothing in these Terms precludes you from bringing issues to the attention of federal, state, or local government agencies and, if the applicable law allows, such agencies may seek relief against Forum Meat at Home for you.

 

f.      Opt-Out Right

You may opt out of the arbitration and class action waiver provisions by sending written notice of your decision to opt out to Forum Meat at Home at the contact address below within 30 days of your first use of the website. If you do not opt out, you will be bound by the arbitration and class action and mass action waiver provisions.

g.     Severability

If any part of these arbitration and class action waiver provisions is found to be invalid or unenforceable, that specific part shall be severed, and the remainder of the provision will remain in full force and effect.

h.    Governing Law

The arbitration and Class Action and Mass Action Waiver provisions are governed by the Federal Arbitration Act and, where applicable, the laws of the state of Texas.

15. Termination

Forum Meat at Home may terminate or suspend your access to the Site at any time, with or without notice, for any reason. You remain responsible for any orders placed or charges incurred prior to termination.

16. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes not subject to arbitration shall be resolved in the state or federal courts located in the State of Texas.

17. Miscellaneous

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Forum Meat at Home’s failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision. These Terms constitute the entire agreement between you and Forum Meat at Home regarding your use of the Site.
